In January 1998, the Baltimore District Office of the EEOC filed this suit in the U.S. District Court for the District of Maryland against Grace Culinary Systems, Inc., a food processing plant, and Townsend Culinary, Inc. After the suit commenced, there were several cross-complaints filed among the original parties and their business affiliates. We do not have a copy of the complaint. However, according to an EEOC press release, the complaint alleged that the defendant discriminated against twenty-two Hispanic female employees in violation of Title VII of the Civil Rights Act of 1964, subjecting them to sexual harassment. After several discovery disputes, the parties agreed to a final settlement in March 2000. We do not have a copy of the settlement agreement, but according to the EEOC press release, Grace Culinary agreed to pay $850,000 to the victims, and Townsend Culinary, Inc. and Townsends, Inc. agreed to pay $150,000.

On May 3, 2000 there was an amended settlement order which we have a copy of stating that the parties have thirty days to consummate the settlement.
